Rules for using Wexley, acceptable use, and limits.

These Terms of Service (the "Terms") govern your access to and use of Wexley's websites, applications, and consumer-facing services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

The Services are intended for adult users who are 18 years of age or older. They are designed primarily for parents, guardians, family members, and adult students seeking school- and campus-related information in the United States. While the Services may be accessible from other locations, we currently design our practices around US laws.

If Wexley later decides to actively target users in other regions (for example, the EU or UK), we may adopt additional or modified terms for those regions and will update these Terms accordingly.


1. What Wexley Does (and Does Not Do)

Wexley provides AI-assisted summaries, answers, and links to help users navigate school- and campus-related questions.

You acknowledge and agree that:

  • All content on the Services is for general informational purposes only.
  • Wexley is not affiliated with, sponsored by, endorsed by, or an official representative of any school, college, university, governmental authority, or other institution, unless expressly stated.
  • Wexley does not provide legal, financial, medical, mental-health, safety, immigration, or other professional advice, and does not provide individualized counseling or professional services.
  • AI-generated content and other information on the Services may be incomplete, outdated, or incorrect.
  • You must independently verify important information directly with the applicable official or professional source before relying on it, even if the content is labeled as "verified," "official," or similar within the Services, and you should not use the Services as a substitute for professional advice in situations that could have legal, financial, educational, health, or safety consequences. You are solely responsible for any decisions or actions you take based on information obtained through the Services.
  • You agree not to use the Services as the sole basis for decisions that could have significant legal, financial, educational, health, or safety consequences for you or anyone else.

2. Eligibility and Accounts

  • You must be at least 18 years old to use the Services.
  • By using the Services, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.
  • You agree to provide accurate, current, and complete information when creating your account and to keep it updated.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You further agree that:

  • You will not create more than one account for yourself unless we expressly approve additional accounts in writing.
  • You will not share your account or allow others to use your credentials.
  • You will not impersonate any person or entity or misrepresent your affiliation with any person or entity (including any school or institution).
  • If you register with an email address associated with an organization (such as a school or employer), that organization may in some circumstances be able to assert control over the account, subject to separate agreements.
  • We may suspend or terminate your account if we reasonably believe that you have violated these Terms or applicable law, or that your use poses a risk to us, the Services, other users, or the public.

3. Student Profiles and Responsibility for Information About Others

The Services allow adult users to create student-related profiles and personalization settings (for example, by associating a student with a campus, academic interests, or housing type).

By creating or updating student information, you represent and warrant that:

  • You are at least 18 years old;
  • You are authorized to provide that information (for example, as the student, a parent or guardian, or with the student's consent where appropriate); and
  • You will not provide more personal information than is reasonably necessary for the intended use (for instance, you may choose a nickname or label such as "Alex" or "Student 1" rather than a full legal name).

You agree not to use the Services to store or transmit highly sensitive data such as full educational records, medical records, government identifiers, or complete financial account numbers. Wexley does not independently verify your relationship to any student you describe, and you are solely responsible for any information you submit about others and for obtaining any consents that may be required under applicable law.


4. Acceptable Use

You agree that you will not:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
  • Infringe or violate the intellectual-property, privacy, or other rights of any person or entity.
  • Upload, share, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, discriminatory, hateful, deceptive, fraudulent, invasive of privacy, or otherwise objectionable.
  • Introduce or attempt to introduce malware, viruses, worms, Trojan horses, or any other malicious code, or interfere with the security or operation of the Services.
  • Attempt to circumvent any technical or security measures, including rate limits, access controls, or usage limits.
  • Scrape, crawl, or systematically collect data from the Services by automated means, except:
    • Standard indexing by search engines that follow our robots.txt and similar instructions; or
    • As expressly permitted by Wexley in a separate written agreement.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying models, or algorithms from the Services, except to the limited extent such activity is expressly permitted by applicable law notwithstanding this restriction.
  • Misrepresent AI-generated content as official or authoritative advice from any institution, or as human-authored, in a way that is misleading or deceptive.
  • Use the Services in high-risk contexts where errors could lead to serious bodily injury, death, or significant property or environmental damage (such as medical diagnosis, emergency response, or critical infrastructure).
  • Advertising / solicitation. Post, promote, solicit, or distribute advertising, marketing, referral links, affiliate offers, lead generation, or other promotional content through the Services, including via public questions, comments, profiles, events, direct messages (if any), or links, unless expressly authorized by Wexley in writing.
  • Off-topic or misleading public content. Post public questions or other public content that is not a good-faith, legitimate request for school- or campus-related information, or that is misleadingly framed to drive traffic, promote a business, or recruit customers.
  • Fake or irrelevant events. Create or share community events that are not legitimate, school-related events (for example, events that are fabricated, primarily promotional, or unrelated to the listed school/campus community).

We may investigate suspected violations, and we may suspend, restrict, or terminate access to the Services at our discretion where we believe a violation has occurred or there is a material risk to the Services, our users, or the public.


5. Your Content and Our License

5.1 User Content

"User Content" means any content you submit to or through the Services, including questions, answers you edit or annotate, comments, reactions, profile information, student profiles, events, and any other text or material.

Private vs. public. "Private" content means it is not publicly visible through the Services, but it is not private as between you and Wexley. Wexley and its service providers may access, process, and store private content to operate, secure, support, and improve the Services as described in these Terms and the Privacy Policy.

As between you and Wexley:

  • You retain ownership of your User Content.
  • To the extent permitted by law, you also own the outputs generated for you by the Services, as between you and Wexley, subject to any third-party rights.
  • You are solely responsible for your User Content and for ensuring that it complies with these Terms and all applicable laws.

5.2 License to Wexley

You grant Wexley a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, host, store, process, modify, publish, display, and distribute your User Content as reasonably necessary to:

  • Operate, maintain, and improve the Services;
  • Provide, personalize, and support the Services for you and other users;
  • Display User Content according to your settings (for example, public vs. private questions);
  • Moderate content and enforce these Terms; and
  • Comply with legal obligations and respond to legal requests.

This license continues for as long as your User Content is stored by or on behalf of Wexley, subject to any legal or technical retention limitations described in the Wexley Privacy Policy.

If your account is deactivated or you request deletion, we may dissociate or pseudonymize your profile from previously public content (for example, by removing or changing the display name associated with past posts), but we are not required to remove or re-label public content unless we choose to do so or are required by law.

5.3 Public Content

If you choose to make User Content public (for example, by posting a public question or comment), you understand that:

  • It may be visible to other users and visitors, and may be indexed by search engines;
  • It may be displayed in public URLs, previews, or other public surfaces; and
  • It may be shared, reposted, or quoted by other users or third parties outside of the Services.

You should not include information in public content that you do not wish to be publicly available. Public content may remain available even if you delete your account, unless we choose to remove it or are required to do so by law.

5.4 Model Training

By default, Wexley does not use your User Content to train Wexley's own models in a manner that identifies you, unless you later provide explicit consent where required. We may use aggregated or de-identified data for research, safety, and improvement purposes.

Our third-party AI providers may handle data as described in their own terms and privacy policies (for example, for abuse monitoring and safety). Where we have configuration options with third-party AI providers, we strive to select settings that minimize unnecessary retention and reuse of your data, but we cannot guarantee or control how those providers independently process data under their own terms and policies.


6. Payments, Subscriptions, and Refunds

Where we offer paid plans or subscriptions:

  • Payment Processing. Payments are processed by third-party payment providers. By starting a paid plan, you authorize Wexley and its payment providers to charge your selected payment method for applicable fees and any recurring charges.
  • Auto-Renewal. Unless otherwise stated, subscriptions renew automatically at the end of each billing period (for example, monthly or annually) until you cancel.
  • Cancellation. You may cancel a subscription at any time through your account settings or by contacting us at support@wexley.ai. If you cancel, your access to paid features generally continues until the end of the then-current billing period, and your subscription will not renew thereafter.
  • Non-Refundability. Except where required by law or expressly stated otherwise, all fees are non-refundable, and we do not provide refunds or credits for partially used periods. In extraordinary circumstances (for example, a prolonged, platform-wide outage), Wexley may, in its sole discretion, provide a prorated or courtesy refund or credit.
  • Taxes. Fees may be exclusive of taxes. We may charge applicable taxes (for example, sales tax or similar) as required by law, based on your billing address or other information you provide.
  • Price Changes. We may change prices, billing structures, or plan features from time to time. For recurring subscriptions, we will provide reasonable advance notice of any price increase that affects your next renewal, where required by law. If you do not agree to the updated pricing, you must cancel before the renewal date.

We will provide a confirmation of your cancellation via the Services and/or to the email address associated with your account, and the effective date of cancellation will be no later than the end of the current billing period, consistent with applicable automatic renewal laws.

6.1 Subscription Tiers

Wexley has the following subscription tiers. Features, limits, and availability may vary by region and may change over time.

Free Tier (US$0/month)

  • Up to 3 private questions ("asks") per month
  • Public questions ("asks"): intended to be effectively unlimited for normal individual use
  • 1 student profile
  • 1 calendar AI explanation per month
  • Community calendar access
  • Ad-supported experience
  • Community support

Plus Tier (US$4.99/month or US$45/year)

  • Private questions: intended to be effectively unlimited for normal individual use
  • Public questions: intended to be effectively unlimited for normal individual use
  • Up to 5 student profiles: families with more than 5 students may contact support@wexley.ai to request a case-by-case limit extension
  • Unlimited calendar AI explanations for normal individual use
  • Community calendar access
  • Ad-free experience
  • Priority support (relative to Free Tier)
  • Early access to selected new features and experiments

Educator Tier (Free for verified educators)

  • All features of the Plus Tier, at no charge, for users we verify as eligible educators (subject to any additional eligibility criteria we may publish).

For purposes of these Terms, "Educator" means an individual who primarily works in a teaching, instructional, academic advising, counseling, or student-support role at an educational institution (such as a K-12 school, college, or university), or in a substantially similar educational capacity, and whom Wexley determines in its sole discretion meets the eligibility criteria for the Educator Tier.

The Educator Tier is intended for individual, non-commercial use by Educators and does not grant any institutional license or rights to use the Services on behalf of a school, district, or other organization.

All "unlimited" features are subject to reasonable technical and abuse-prevention limits, such as rate limits, fair-use protections, and automated safeguards designed to protect the Services and other users. We may adjust tiers, features, and limits over time. We will provide reasonable notice of material changes that adversely affect your paid subscription, where required by law.


The Services may integrate with, or allow you to access, third-party services, APIs, software, content, or websites ("Third-Party Services"), including:

  • Sign-in and identity providers
  • Payment processors
  • AI and search providers
  • Analytics and measurement tools
  • Error monitoring and logging tools
  • Advertising networks, ad servers, and similar partners
  • External school, institutional, or other third-party websites

Third-Party Services are not under our control and are subject to their own terms and privacy policies. Your use of any Third-Party Service is at your sole risk, and you are responsible for complying with any terms and policies that govern those services.

To the maximum extent permitted by law:

  • Wexley is not responsible for Third-Party Services, including their actions, omissions, availability, accuracy, legality, or content, even if accessed through the Services.
  • Any dispute you have with a third party (including a provider of a Third-Party Service) is solely between you and that third party.
  • We may modify, suspend, or discontinue any integration with a Third-Party Service at any time, including if we reasonably believe that continuing the integration could violate the third party's terms or applicable law, or would pose a risk to the Services or our users. We are not liable to you for any resulting loss or damage to the extent permitted by law.

You agree:

  • Not to use the Services in a manner that would cause Wexley to violate the terms of any Third-Party Service that we rely on to provide the Services; and
  • To indemnify Wexley for claims brought by a Third-Party Service provider to the extent arising from your misuse of their services through the Services or your failure to comply with their terms (see Section 15).

We implement reasonable contractual and technical controls with Third-Party Services, but we cannot guarantee that third parties will always act in accordance with their own terms or with our expectations. If a Third-Party Service asserts that our usage or your usage through our platform is not permitted, we may change or disable the relevant features to mitigate risk, and we will not be responsible for any resulting limitations, except to the extent required by law.


8. Advertising and Third-Party Offers

The Services may display advertisements, sponsored content, or promotional messages from Wexley or from third parties, including on the Free Tier.

You acknowledge and agree that:

  • We do not endorse any third-party products, services, or content that may be advertised on or through the Services, unless explicitly stated otherwise.
  • Your dealings with advertisers, including any purchase of products or services and any terms, conditions, warranties, or representations associated with such dealings, are solely between you and the advertiser.
  • To the maximum extent permitted by law, Wexley is not responsible or liable for any loss or damage arising from your interactions with, or reliance on, any advertisements or third-party offers.

Advertising and measurement activities may be facilitated by Third-Party Services, which are governed by their own terms and privacy policies. Our use of data in connection with advertising (including any activities that might be deemed "sale" or "sharing" under certain US state privacy laws) is described in the Wexley Privacy Policy. Where required by law, we will provide you with appropriate opt-out rights and controls.


9. Community Features and Moderation

Legitimacy and no advertising. Community features are for legitimate school- and campus-related questions and events. Wexley has a strict no-advertising policy. We may remove content that we determine is promotional, misleading, fabricated, or off-topic. Repeat violations may result in account restrictions, suspension, or termination.

If the Services include public questions, comments, events, or other community features:

  • You are expected to be respectful and constructive in your interactions.
  • You may not post content that is illegal, infringing, abusive, harassing, hateful, or otherwise violates these Terms or others' rights.
  • You may not impersonate any person or entity or misrepresent your affiliation.

We may, but are not obligated to:

  • Monitor, review, or moderate User Content;
  • Remove, edit, or restrict access to User Content at any time, with or without notice, for any reason or no reason;
  • Suspend, restrict, or terminate accounts that violate these Terms or pose a risk to the community.

We do not guarantee the accuracy, completeness, or quality of any User Content, and we are not responsible for statements or content posted by users. You use community features at your own risk.

In general, we do not retroactively remove or substantially edit historical posts solely because circumstances change or because you later regret posting them. If you request that your account be closed or we deactivate it, your public contributions may remain visible, unless we decide or are required by law to remove them.


10. Privacy

Your use of the Services is also governed by the Wexley Privacy Policy, which explains how we collect, use, disclose, and protect personal information, including our practices regarding cookies, analytics, advertising, and user rights under US privacy laws.

By using the Services, you acknowledge that you have read and understood the Privacy Policy, which is incorporated into these Terms by reference.


11. Service Changes and Availability

We are continually improving the Services and may:

  • Add, modify, or remove features;
  • Change the user interface or functionality;
  • Introduce or discontinue subscription tiers or promotions;
  • Temporarily or permanently suspend or discontinue all or any part of the Services.

We strive to maintain reliable availability, but we do not guarantee that the Services will be available at all times, or that they will be free of errors or interruptions.

To the maximum extent permitted by law, we are not liable for any loss or harm arising from any modification, suspension, or discontinuance of the Services, or from any downtime or performance issues.


12. Termination

You may stop using the Services at any time. Where functionality is available, you may also close your account through in-product settings or by contacting us at support@wexley.ai.

If you cancel a paid subscription, your access to paid features generally continues until the end of the then-current billing period, after which it will not renew. We do not provide refunds or credits for partially used periods, except where required by law or we expressly agree otherwise (see Section 6).

We may suspend, restrict, or terminate your access to all or part of the Services, including your account, if:

  • We reasonably believe you have violated these Terms or applicable law;
  • Your use poses or may pose a risk to Wexley, the Services, other users, or the public;
  • A Third-Party Service or legal requirement necessitates changes to your access; or
  • We cease offering the Services or any portion of them.

Upon termination or deactivation of your account:

  • Your right to use the Services ceases immediately.
  • We may retain and use your information as described in the Privacy Policy, including retaining or anonymizing certain data where required or permitted by law.
  • Public contributions (such as public questions or comments) may remain available, unless we decide or are required to remove them.
  • Sections that by their nature should survive termination (including, without limitation, ownership provisions, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law) will continue to apply.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICES AND ALL CONTENT (INCLUDING AI-GENERATED OUTPUTS) ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
  • WEXLEY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ACCURACY.
  • WEXLEY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION OR OUTPUTS WILL BE ACCURATE, RELIABLE, CURRENT, OR COMPLETE.

No advice or information (whether oral or written) obtained from Wexley or through the Services creates any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of certain warranties, so the above disclaimers may apply to you only to the extent permitted by law.


14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WEXLEY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS (COLLECTIVELY, THE "WEXLEY PARTIES") WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, EVEN IF WEXLEY OR ANY OTHER WEXLEY PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • THE WEXLEY PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
    • (A) THE AMOUNT YOU PAID TO WEXLEY FOR THE SERVICES IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
    • (B) SIXTY US DOLLARS (US $60).

Nothing in these Terms is intended to limit or exclude liability that cannot be limited or excluded under applicable law (for example, certain liabilities under consumer-protection statutes).


15. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless the Wexley Parties from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Services;
  • Your User Content;
  • Your violation of these Terms or any applicable law or regulation;
  • Your misuse of any Third-Party Service through the Services or your failure to comply with that third party's terms; or
  • Any claim by a third party (including a student, institution, or service provider) arising from your actions or omissions.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.


16. Governing Law and Dispute Resolution (United States – JAMS Arbitration)

These Terms and any dispute arising out of or relating to them or to the Services are governed by the laws of the State of California, without regard to its conflict-of-law rules, except that the Federal Arbitration Act ("FAA") governs the interpretation and enforcement of the arbitration agreement and class-action waiver provisions in this Section 16.

To the maximum extent permitted by law:

  • Informal Resolution. Before initiating formal proceedings, you agree to first contact us at support@wexley.ai and attempt to resolve the dispute informally with us for at least 30 days.
  • Binding Arbitration with JAMS. If the parties are unable to resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including the breach, termination, enforcement, interpretation, or validity thereof) will be resolved by binding arbitration on an individual basis, rather than in court, except that you may be able to bring certain claims in small-claims court as described below.

The arbitration will be administered by JAMS in accordance with its Consumer Arbitration Minimum Standards and, to the extent not inconsistent with those Minimum Standards, the JAMS Comprehensive Arbitration Rules and Procedures (collectively, the "JAMS Rules"), as modified by these Terms.

  • The arbitration will be conducted by a single arbitrator selected in accordance with the JAMS Rules.
  • The seat or legal place of arbitration will be Orange County, California, although hearings may be conducted remotely (for example, by video conference) where permitted by the JAMS Rules and applicable law.
  • In the event of any conflict between these Terms and the JAMS Consumer Arbitration Minimum Standards, the JAMS Consumer Arbitration Minimum Standards will govern.

Small-Claims Court. You or Wexley may choose to bring an individual claim in small-claims court instead of arbitration, provided the claim meets the small-claims court's requirements. Any such small-claims action must be brought in a court of competent jurisdiction in the United States, typically in your county of residence or in Orange County, California.

Mass Filings / Coordinated Claims. To help ensure efficient and fair resolution, if multiple similar arbitration demands are filed against Wexley that are coordinated or brought by the same counsel or entities and raise substantially similar issues, the parties agree to follow the then-current JAMS Mass Arbitration Procedures and Guidelines, including any staged, batched, or bellwether-style processes JAMS makes available for such matters, to the extent permitted by law.

The parties further agree to meet and confer in good faith to propose reasonable procedures consistent with the JAMS Mass Arbitration Procedures intended to reduce duplication, promote consistent outcomes, and facilitate prompt settlement discussions where appropriate.

No Class Actions. YOU AND WEXLEY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. To the extent permitted by law, the arbitrator may not consolidate more than one person's claims or otherwise preside over any form of representative or class proceeding.

Severability (Section 16). If any portion of this arbitration agreement is found to be unenforceable or invalid with respect to a particular claim or request for relief, then that claim or request for relief must be brought exclusively in the state or federal courts located in Orange County, California, and you and Wexley consent to personal jurisdiction and venue in those courts for such purposes.

If you access the Services from outside the United States, you do so at your own initiative and are responsible for compliance with any local laws that may apply. If Wexley later actively targets users in other countries or regions, we may adopt region-specific dispute-resolution terms for those users.


17. Export and Sanctions Compliance

You may not use, export, or re-export the Services or any portion thereof in violation of any applicable export-control or sanctions laws and regulations, including those of the United States.

By using the Services, you represent and warrant that you are not:

  • Located in a jurisdiction that is subject to comprehensive US sanctions, or
  • A person or entity barred from receiving services under applicable sanctions or export-control laws.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Effective Date" at the top. For material changes, we may provide additional notice (for example, via the Services or by email) where required by law.

If you continue to use the Services after the updated Terms become effective, you are deemed to have accepted the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.


19. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy and any additional terms we present for specific features or promotions, constitute the entire agreement between you and Wexley regarding the Services and supersede any prior agreements or understandings.
  • Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be interpreted, limited, or severed to the minimum extent necessary to make it enforceable.
  • Assignment. You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
